QuantumGenie CipherScan Proprietary Software License Agreement
Version 1.0 — July 24, 2026

Copyright © 2026 QuantumGenie. All rights reserved.

This Proprietary Software License Agreement ("Agreement") is between
QuantumGenie ("Licensor") and the individual or legal entity that installs,
copies, or uses QuantumGenie CipherScan for Visual Studio Code ("Software").
By installing, copying, or using the Software, you accept this Agreement. If
you do not accept it, do not install or use the Software.

1. License Grant

Subject to this Agreement, Licensor grants you a limited, non-exclusive,
non-transferable, non-sublicensable, revocable, royalty-free license to:

(a) install and use the Software for personal, educational, internal business,
    and commercial software-development purposes; and

(b) make a reasonable number of copies solely for backup, internal deployment,
and use within the same legal entity.

This license does not transfer ownership of the Software. Scan results and
reports produced from your own source code remain available for your use.

2. Restrictions

Except where applicable law expressly permits a restriction to be overridden,
you may not:

(a) sell, rent, lease, sublicense, publish, distribute, or make the Software
available to a third party, except for internal deployment permitted by
    Section 1;

(b) modify, adapt, translate, reverse engineer, decompile, disassemble, or
attempt to derive the source code, rule definitions, or underlying design
    of the Software;

(c) extract, copy, or reuse the Software's detection rules, metadata, user
interface, or other components to create or improve a competing product or
    service;

(d) remove, alter, or obscure copyright, trademark, attribution, or proprietary
    notices; or

(e) use the Software in violation of applicable law or to scan source code that
you are not authorized to access.

3. Ownership

The Software is licensed, not sold. Licensor and its licensors retain all
right, title, and interest in the Software, including all intellectual-property
rights. Rights not expressly granted by this Agreement are reserved.

4. Third-Party Components

The Software may include third-party components governed by separate license
terms. Those terms apply only to the corresponding third-party components and
do not expand the license granted for the Software.

5. Updates and Changes

Licensor may provide updates, corrections, or new versions. Unless accompanied
by different terms, those updates are governed by this Agreement. Licensor is
not obligated to provide updates, maintenance, support, or continued
availability.

6. Security-Tool Limitations

The Software assists with cryptographic discovery and security review. It does
not guarantee that source code is secure, complete, compliant, free of
vulnerabilities, or suitable for any particular purpose. Findings may include
false positives or omit relevant issues. You remain responsible for
independent review, testing, risk decisions, and compliance obligations.

7. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED
"AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY
KIND. LICENSOR DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES,
INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND SECURITY.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR AND ITS AFFILIATES,
OFFICERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY
INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES,
OR FOR ANY LOSS OF DATA, SOURCE CODE, PROFITS, REVENUE, BUSINESS, OR GOODWILL,
ARISING FROM OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF
THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR'S TOTAL AGGREGATE
LIABILITY ARISING FROM OR RELATED TO THE SOFTWARE OR THIS AGREEMENT WILL NOT
EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SOFTWARE DURING THE TWELVE
MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR USD $10.

Some jurisdictions do not allow certain warranty exclusions or liability
limitations, so parts of Sections 7 or 8 may not apply to you.

9. Termination

This Agreement terminates automatically if you materially breach it. Upon
termination, you must stop using the Software and delete copies under your
control. Sections that by their nature should survive termination will survive,
including Sections 2, 3, 6, 7, 8, 9, and 10.

10. General

If any provision is unenforceable, it will be enforced to the maximum extent
permitted and the remaining provisions will remain effective. A failure to
enforce a provision is not a waiver. You may not assign this Agreement without
Licensor's prior written consent. This Agreement is the complete agreement
between you and Licensor concerning the Software unless separate written terms
signed by Licensor apply.

Microsoft is not a party to this Agreement and does not license or provide
warranties for the Software. Your use of Visual Studio Code and Microsoft
services remains governed by Microsoft's applicable terms.
